Nordhealth AS: Primary insider notices

Oslo, 5 July 2021. Reference is made to the stock exchange announcement by Nordhealth AS (the "Company") on 3 July 2021 regarding completion of the stabilization period. As part of completion of the stabilization period, Carnegie AS (the "Manager") purchased from and redelivered shares to the lending shareholders. The following shares were purchased from and redelivered to primary insiders of the Company and their close associates: 1,417,475 shares were sold at a price of NOK 40.786 per share and 1,769,275 shares were redelivered to Three Plus Group S.A. Three Plus Group S.A. is a close associate of the CEO, Charles MacBain. Following purchase and redelivery of the shares, Three Plus Group S.A. owns 4,956,027 class A shares and 29,742,998 class B shares in the Company, equal to approximately 46.27% of the outstanding existing shares. 19,197 shares were sold at a price of NOK 40.786 per share and 23,960 shares were redelivered to Oy Pasanen & Co. Oy Pasanen & Co is a close associate of the CFO, Valter Pasanen. Following purchase and redelivery of the shares, Oy Pasanen & Co owns 67,116 class A shares and 402,796 class B shares in the Company, equal to approximately 0.63% of the outstanding existing shares. 129,780 shares were sold at a price of NOK 40.786 per share and 161,989 shares were redelivered to Janne Huttunen. Following purchase and redelivery of the shares, Janne Huttunen owns 453,757 class A shares and 2,723,175 class B shares in the Company, equal to approximately 4.24% of the outstanding existing shares. 34,454 shares were sold at a price of NOK 40.786 per share and 43,006 shares were redelivered to Olli Venemies. Following purchase and redelivery of the shares, Olli Venemies owns 120,468 class A shares and 722,967 class B shares in the Company, equal to approximately 1.13% of the outstanding existing shares. 34,455 shares were sold at a price of NOK 40.786 per share and 43,006 shares were redelivered to Juha Huttunen. Following purchase and redelivery of the shares, Juha Huttunen owns 120,467 class A shares and 722,966 class B shares in the Company, equal to approximately 1.13% of the outstanding existing shares.
