NOD: Exercise of employee share options

On April 21, 2021, employees in Nordic Semiconductor ASA have exercised 1,019,471 options in Nordic Semiconductor ASA. The options contracts were granted to employees with a "cap" of three times strike price. Upon exercise, the company has the right to settle its option contracts in cash by paying the difference between the share price and the strike price, with a maximum settlement fee equal to the difference between the "cap" and the strike price. Based on the current share price, the Board has authorized the company to exercise its right to settle its options contracts in cash by paying the difference between the "cap" and the strike price for outstanding 2018 and outstanding 2019 options vesting in first half 2021, which have all reached cap. This options settlement will result in a cash payment of NOK 88,331,485 (~USD 10.6 million) to those employees who have exercised options. All expenses related to the options exercise have already been recognized in previous quarters, and the options settlement has no net impact on the operating expenses of the company in the current or future quarters. Following this transaction, he holds 1,905,400 shares and 12,721 share options, 10,621 RSUs and 24,057 performance shares in the Company. Following this transaction, he holds 18,846 shares and 7,880 share options, 6,345 RSUs and 12,747 performance shares in the Company. Chief Technology Officer, Svein-Egil Nielsen, has exercised 23,382 share options.
