Sikri Holding AS: Mandatory notification of trade

Reference is made to the stock exchange announcement by Sikri Holding AS (“Sikri”) on 26 April 2021, regarding the successful completion of a Private Placement. As set out therein, allocation of shares to Karbon Invest AS (“Karbon”) was 870,000 shares, at a price per share of NOK 115. Karbon is a company closely associated with Jens Rugseth, Chairman of the board of directors in Sikri. After completion of private placement, Karbon will hold 8,081,273 shares in Sikri, representing 42.98% of issued and outstanding shares in the company. Allocation of shares to M25 Industrier AS (“M25”) was 217,400 shares, at a price per share of NOK 115. M25 is a company closely associated to Fredrik Cappelen, a board member in Sikri. After completion of private placement, M25 will hold 2,022,809 shares in Sikri, representing 10.76% of issued and outstanding shares in the company.
