Norway Royal Salmon ASA (NRS): Mandatory notification of trade

Gåsø Næringsutvikling AS ("Gåsø Næringsutvikling") and NTS ASA ("NTS") have 25 August 2021 completed the agreement to sell 1,624,607 shares in Norway Royal Salmon ASA ("NRS") owned by Gåsø Næringsutvikling to NTS, corresponding to 3.72% of the total number of outstanding shares and votes in NRS. The transaction has been completed based on the offer price in the mandatory offer. Following completion of this transaction, Gåsø Næringsutvikling no longer holds any Shares in NRS. In addition, Midt-Norsk Havbruk AS ("MNH"), a company wholly owned by NTS has today transferred all its shares in NRS, constituting 6,299,635 shares in NRS, corresponding to 14.45% of to the total number of outstanding shares and votes in NRS. The transaction has been completed based on the offer price in the mandatory offer, and settlement has occurred today. Following completion of this transaction, MNH no longer holds any Shares in NRS. Following completion of these transactions, NTS owns 16,133,662 shares in NRS, corresponding to 37% of the shares and votes in NRS.In addition, NTS has received acceptances in the mandatory offer, cf. separate announcements in this regard. Gåsø Næringsutvikling and NTS are both companies considered close associates of chairman of the Board and primary insider of NRS, Helge Gåsø. This notification has been submitted pursuant to the Securities Trading Act § 5 -12 and MAR Article 19 no. 3.
