Sikri Holding AS: Share option program and mandatory notification of trade

Oslo, 29 December 2021. Reference is made to the announcement made by Sikri Holding AS ("Sikri" and together with its subsidiaries, the "Group") 30 December 2020 regarding the establishment of an option program for management and key employees of the Group. The board of directors of the Company (the “Board”) has today resolved to grant 148,039 share options (the "2021 Grant") under the 2020 share option program. The exercise price for this grant is set at NOK 108, being equal to the market price of the Company's shares on 28 December 2021, and is subject to a 10% increase annually, first time 1 January 2023. The share options under the 2021 Grant will vest with 1/3 on 1 January 2023, 1/3 on 1 January 2024 and 1/3 on 1 January 2025. Any vested share options under the 2021 Grant must be exercised no later than on 31 December 2026. Further, following the acquisition of Ambita AS (“Ambita” and together with its subsidiaries, the “Ambita Group”), the Board has decided to grant an additional 104,990 options to key employees in the Ambita Group (the “Ambita Grant”), under the same terms as the 2020 Option program. These options are in addition to the options that may be awarded under the 2020 option program. The following primary insiders of the Company have been granted the following share options: Nicolay Moulin, CEO, has been granted 14,729 share options under the 2021 Grant. Following this grant Nicolay Moulin holds 247,186 shares in the Company. In addition, Nicolay Moulin holds the right to 729 bonus shares under the 2021 ESPP, 32,565 share options under the 2020 Grant and 14,729 share options under the 2021 Grant. Camilla Aardal, CFO, has been granted 19,147 share options under the 2021 Grant. Following this grant Camilla Aardal holds 27,048 shares in the Company. In addition, Camilla Aardal holds the right to 1,709 bonus shares under the 2020 ESPP, the right to 546 bonus shares under the 2021 ESPP, 25,904 share options under the 2020 Grant and 19,147 share options under the 2021 Grant. Anne Mette Havaas, Director Products and Marketing, has been granted 14,729 share options under the 2021 Grant. Following this grant Anne Mette Havaas holds 16,562 shares in the Company. In addition, Anne Mette Havaas holds 25,904 share options under the 2020 Grant and 14,729 share options under the 2021 Grant. Silje Hansen, Director Development, has been granted 22,093 share options under the 2021 Grant. Following this grant Silje Hansen holds 18,201 shares in the Company. In addition, Silje Hansen holds the right to 546 bonus shares under the 2021 ESPP, 14,802 share options under the 2020 Grant and 22,093 share options under the 2021 Grant. Ann-Karin Fredriksen, Director Delivery, has been granted 22,093 share options under the 2021 Grant. Following this grant Ann-Karin Fredriksen holds 18,748 shares in the Company. In addition, Ann-Karin Fredriksen holds the right to 729 bonus shares under the 2021 ESPP, 8,881 share options under the 2020 Grant and 22,093 share options under the 2021 Grant. Eirik Pedersen, Director Sales, has been granted 20,620 share options under the 2021 Grant. Following this grant Eirik Pedersen holds 250,128 shares in the Company. In addition, Eirik Pedersen holds the right to 1,709 bonus shares under the 2020 ESPP, 25,904 share options under the 2020 Grant and 20,620 share options under the 2021 Grant. Eva Marie Røen, HR Director Sikri AS, has been granted 15,480 share options under the 2021 Grant. Following this grant Eva Marie Røen holds 24,338 shares in the Company. In addition, Eva Marie Røen holds the right to 1,709 bonus shares under the 2020 ESPP, the right to 729 bonus shares under the 2021 ESPP, 5,198 share options under the 2020 Grant and 15,480 share options under the 2021 Grant. Therese Midthjell, Director Customer Centre, has been granted 19,147 share options under the 2021 Grant. Following this grant Therese Midthjell holds 18,748 shares in the Company. In addition, Therese Midthjell holds the right to 729 bonus shares under the 2021 ESPP, 8,881 share options under the 2020 Grant and 19,147 share options under the 2021 Grant. Arild Elverum, Director Sales Ambita, has been granted 20,998 share options under the Ambita Grant. Following this grant Arild Elverum holds 20,998 share options under the Ambita Grant. Hege Moe Tveit, Director Strategy and Business Development, has been granted 20,998 share options under the Ambita Grant. Following this grant Hege Moe Tveit holds 2,186 shares in the Company. In addition, Hege Moe Tveit holds the right to 729 bonus shares under the 2021 ESPP and 20,998 share options under the Ambita Grant. Anny Margrethe Bratterud, Director HR, has been granted 20,998 share options under the Ambita Grant. Following this grant Anny Margrethe Bratterud holds 546 shares in the Company. In addition, Anny Margrethe Bratterud holds the right to 182 bonus shares under the 2021 ESPP and 20,998 share options under the Ambita Grant. Erling Olaussen, Director Boligmappa, has been granted 20,998 share options under the Ambita Grant. Following this grant Erling Olaussen holds 20,998 share options under the Ambita Grant.
