Primary insider notification and disclosure of holdings

On 25 February 2022, following a transfer of such shares from his wholly owned investment company Fountain Venture AS, Jørn Lyseggen has transferred 22,587,173 shares in Meltwater to Arneson Haugen Holding AS and 15,475,500 shares in Meltwater to Sparkling Rock AS (previous Glittenberg Holding AS). The share transfers results from the unwinding of pre-existing arrangements pursuant to which Arneson Haugen Holding AS and Sparkling Rock AS have owned the economic interest in the shares that have now been transferred, as previously set out in the prospectus and information document in connection with the listings and admission to trading on Oslo Børs and Euronext Growth. Following the transfers, Arneson Haugen Holding AS will hold 22,587,173 shares in Meltwater, representing 7.1% of the issued and outstanding shares and votes, and Sparkling Rock AS will hold 15,475,500 shares in Meltwater, representing 5.1% of the issued and outstanding shares and votes. Jørn Lyseggen will indirectly through Fountain Venture AS hold 89,361,830 shares in Meltwater, representing 28.8% of the issued and outstanding shares and votes. In addition, Bipro AS where Lyseggen holds a 32.2% ownership, owns 9,197,400 shares in Meltwater, representing 3.0% of the issued and outstanding shares and votes.
