Kalera AS: Mandatory notification of trade

Oslo, 19 May 2022: Reference is made to the announcement by Kalera AS ("Kalera" or the "Company") (Euronext Growth Oslo: KAL, Bloomberg: KSLLF) published on 24 February 2021 regarding the Company's acquisition of Vindara Inc. ("Vindara"). As disclosed in the abovementioned announcement, the consideration payable for the equity of Vindara was settled partly in the form of preferred stock in a subsidiary of Kalera, exchangeable into an aggregate of 2,084,087 shares in the Company. As a consequence of the merger between the Company and Kalera S.A., the preferred stock will need to be exchanged into shares in the Company. The Company's board of directors has on this basis resolved to increase the Company's share capital with NOK 20,840.87 through issuance of 2,084,087 new shares in the Company. The resolution to increase the Company's share capital was made pursuant to the authorization granted to the bord of directors at the Company's general meeting held on 23 June 2021. Jade Stinson, Co-founder and President of Vindara and a primary insider of the Company, was entitled to and will receive 63,356 of the 2,084,087 new shares.
