Sikri Holding AS: Mandatory notification of trade

Oslo, 27 May 2022. Reference is made to the announcement by Sikri Holding AS (the "Company") earlier today regarding the resolved share capital increase in connection with the Company’s employee share purchase program for 2022 ("2022 ESPP"). The following primary insiders were allocated shares under the 2022 ESPP: Nicolay Moulin, CEO, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Nicolay Moulin controls 249,997 shares in the Company. In addition, Nicolay Moulin holds the right to 729 Bonus Shares under the 2021 ESPP, the right to 937 Bonus Shares under the 2022 ESPP, 32,565 share options under the 2020 Grant and 14,729 share options under the 2021 Grant. Camilla Aardal, CFO, was allocated 2,108 shares under the 2022 ESPP. After completion of the share capital increase, Camilla Aardal controls 29,156 shares in the Company. In addition, Camilla Aardal holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 546 Bonus Shares under the 2021 ESPP, the right to 703 Bonus Shares under the 2022 ESPP, 25,904 share options under the 2020 Grant and 19,147 share options under the 2021 Grant. Ann-Karin Fredriksen, Director Delivery, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Ann-Karin Fredriksen controls 21,559 shares in the Company. In addition, Ann-Karin Fredriksen holds the right to 729 Bonus Shares under the 2021 ESPP, the right to 937 Bonus Shares under the 2022 ESPP, 8,881 share options under the 2020 Grant and 22,093 share options under the 2021 Grant. Erling Olaussen, Director Boligmappa, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Erling Olaussen controls 2,811 shares in the Company. In addition, Erling Olaussen holds the right to 937 Bonus Shares under the 2022 ESPP and 20,998 share options under the Ambita Grant. Line Cecilie Stenseth, Group Finance Manager, was allocated 421 shares under the 2022 ESPP. After completion of the share capital increase, Line Cecilie Stenseth controls 2,607 shares in the Company. In addition, Line Cecilie Stenseth holds the right to 729 Bonus Shares under the 2021 ESPP and the right to 140 Bonus Shares under the 2022 ESPP. Mia Nordli Jørgensen, Business Controller, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Mia Nordli Jørgensen controls 4,997 shares in the Company. In addition, Mia Nordli Jørgensen holds the right to 729 Bonus Shares under the 2021 ESPP and the right to 937 Bonus Shares under the 2022 ESPP. Robert Vabo, a close associate of Anne Mette Havaas, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Robert Vabo controls 7,817 shares in the Company. In addition, Robert Vabo holds the right to 940 Bonus Shares under the 2020 ESPP, 729 Bonus Shares under the 2021 ESPP, and 937 Bonus Shares under the 2022 ESPP. The following current board members were allocated shares under the same terms as the 2022 ESPP: Chairos AS, a company wholly owned by board Chairman Torstein Harildstad, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Torstein Harildstad, directly or indirectly, controls 5,802 shares in the Company. In addition, Chairos AS holds the right to 729 Bonus Shares under the 2021 ESPP and 937 Bonus Shares under the 2022 ESPP. Torstein Harildstad holds 25,904 share options under the 2021 Grant and 25,409 share options under the 2022 Grant. Rugz AS, a company wholly owned by board member Jens Rugseth, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Rugz AS controls 10,125 shares in the Company. In addition, Rugz AS holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 729 Bonus Shares under the 2021 ESPP, and the right to 937 Bonus Shares under the 2022 ESPP. In addition, Karbon Invest AS, a company controlled by Jens Rugseth, holds 6,396,273 shares in the Company. Snow AS, a company wholly owned by board member Christian Breddam, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Snow AS controls 10,125 shares in the Company. In addition, Snow AS holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 729 Bonus Shares under the 2021 ESPP, and the right to 937 Bonus Shares under the 2022 ESPP. Stella AS, a company controlled by board member Fredrik Cappelen, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Stella AS controls 10,125 shares in the Company. In addition, Stella AS holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 729 Bonus Shares under the 2021 ESPP and the right to 937 Bonus Shares under the 2022 ESPP. In addition, Stella Industrier AS, a close associate of Fredrik Cappelen, controls 2,022,809 shares in the Company. Rasche Investeringer AS, a company wholly owned by board member Preben Rasch-Olsen, was allocated 1,405 shares under the 2022 ESPP. After completion of the share capital increase, Rasche Investeringer AS controls 89,965 shares in the Company. In addition, Rasche Investeringer AS holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 546 Bonus Shares under the 2021 ESPP, and the right to 468 Bonus Shares under the 2022 ESPP. In addition, Carucel Finance AS, a close associate of Preben Rasch-Olsen, holds 2,099,474 shares in the Company. Sevencs AS, a company controlled by board member Rune Syversen, was allocated 2,811 shares under the 2022 ESPP. After completion of the share capital increase, Sevencs AS controls 10,125 shares in the Company. In addition, Sevencs AS holds the right to 1,709 Bonus Shares under the 2020 ESPP, the right to 729 Bonus Shares under the 2021 ESPP, and the right to 937 Bonus Shares under the 2022 ESPP. Full Storm Invest, a company controlled by board member Torbjørn Krøvel, was allocated 1,405 shares under the 2022 ESPP. After completion of the share capital increase, Full Storm Invest AS controls 2,687 shares in the Company. In addition, Full Storm Invest AS holds the right to 427 Bonus Shares under the 2020 ESPP and the right to 468 Bonus Shares under the 2022 ESPP. Note that the board of directors of the Company has proposed a share split with a split ratio 1:5 and Ex-date 15 June 2022, as announced in the stock exchange notice of 24 May 2022.
