GRANT OF OPTIONS AND MANDATORY NOTIFICATIONS OF SHAREHOLDINGS

OSLO, Norway - Crayon Group Holding ASA (“Crayon”) announces that Chief Technology Officer Florian Rosenberg has been awarded 100,000 options with strike price of 125.20 NOK (equal to market price on June 30). The options will vest in three tranches, with 1/3 vesting annually, with a five-year overall term for the option agreements. CEO of Crayon, Melissa Mulholland, comments: “Our services strategy is crucial to our long-term success in driving continued growth ambitions and delivering customer value. To realize these ambitions, it requires us to have leading talent in the organization to define the services, develop the innovative platforms to provide automation capability, and lead the team forward. Florian Rosenberg was promoted in September 2021 to lead Services, Platforms, and IT as the Chief Technology Officer for Crayon. In the past 9 months he has outperformed the role expectation with delivering innovative IP and Services that set the foundation for Crayon’s growth in 2023 and has hired and retained top talent in the industry to support in these strategic initiatives.” The management remuneration policy adopted in November 2021 does not contain any ongoing option-based programs for options award to senior management. However, the BoD has considered the matter carefully, and concluded on making an exception to this policy in order to ensure a long-term alignment for the incentives of Florian Rosenberg with the remaining management team at Crayon.
