EcoOnline Holding AS: Mandatory notification of trades

In connection with the recommended cash offer (the "Offer") by Erling Bidco AS, a company indirectly wholly-owned by funds advised by Apax Partners LLP, to acquire all shares of EcoOnline Holding AS ("EcoOnline" or the "Company") the following persons discharging managerial responsibilities in EcoOnline (or their related parties as described below) have accepted the Offer for all their shares in the Company: • Göran Lindö, CEO of EcoOnline, has through his wholly-owned company Area 42 AS accepted the Offer for his 2,578,305 shares in EcoOnline. • Siw Ødegaard, CFO of EcoOnline, has through her wholly-owned company Kvinnesiden AS accepted the Offer for her 161,594 shares in EcoOnline. • Øyvind Skeie Bauer, CTO of EcoOnline, has through his wholly-owned company Bauer Investments AS accepted the Offer for his 627,943 shares in EcoOnline. • Nina Amundstuen Sofienlund, VP People, Culture & Processes of EcoOnline, has directly (106,299 shares) and through her wholly-owned company NASEAS Holding AS (37,000 shares) accepted the Offer for her in total 143,299 shares in EcoOnline. • Andreas Nordsjö, VP Corporate Business Development of EcoOnline, has through his wholly-owned company Silt Lake Invest AS accepted the Offer for his 574,508 shares in EcoOnline. • Darragh Geoghegan, VP Revenue Operations of EcoOnline, has accepted the Offer for his 777,723 shares in EcoOnline. • Mark Swithenbank, VP Customer Success Row of EcoOnline, has accepted the Offer for his 1,359,557 shares in EcoOnline. • Pål Mørken, VP Customer Success Nordics of EcoOnline, has through his wholly-owned company Mørken 2 Invest AS accepted the Offer for his 338,198 shares in EcoOnline. • Espen Eide, VP New Customer Sales of EcoOnline, has through his wholly-owned company Hejja Invest AS accepted the Offer for his 183,716 shares in EcoOnline. • Axel Elvik, VP Product of EcoOnline, has through his wholly-owned company Hektor Technologies AS accepted the Offer for his 129,984 shares in EcoOnline. • Annika Heinmetz, VP Marketing of EcoOnline, has accepted the Offer for her 37,705 shares in EcoOnline. • Gunnar Evensen, Chairman of the board of directors of EcoOnline, has through his wholly-owned company Møsbu AS accepted the Offer for his 1,537,454 shares in EcoOnline. • Thomas C. Hoegh, board member of EcoOnline, has through his company Goran Enterprises Limited accepted the Offer for his 788,617 shares in EcoOnline. • Stefanie Witte, board member of EcoOnline, has accepted the Offer for her 130,106 shares in EcoOnline. In addition, the following related parties have accepted the Offer for all their shares in the Company: • Nitro Newco AS, a related party represented on the board of directors through Christian Melby, has accepted the Offer for its 44,669,784 shares in EcoOnline. • GLQ Holdings (UK) Ltd., StoneBridge 2020, L.P. and StoneBridge 2020 Offshore Holdings II, related parties to and represented on the board of directors through Michael Bruun, have accepted the Offer for their 25,208,900, 2,012,903 and 1,054,038 shares, respectively.
