Primary insider notification of conditional share purchase

Oslo, Norway, March 23, 2022 Codee Holding AS has today entered into a conditional purchase agreement to acquire 24,505,772 shares in PatientSky Group AS. The acquisition of shares is subject to the closing of transaction announced 5. March 2023 (where PatientSky AS sells PatientSky SaaS Norway AS and PatienSky App AS to EG Norge AS), as well as possible subsequent dividends. The price per share is set to NOK 2.90, subject to certain adjustment mechanisms. Codee Holding AS is controlled by Jesper Melin Ganc-Petersen, Chairman of the Board, and primary insider. Jesper Melin Ganc-Petersen and related parties hold 80.933.733 shares in the Company, corresponding to 40,70% of the outstanding shares. If the 24,505,772 shares are acquired Jesper Melin Ganc-Petersen and related parties will hold 105,439,505 shares corresponding to 53.02% of the outstanding shares. Following the potential acquisition of shares Codee Holding AS will pass the 50% threshold and own 53.02% of the outstanding shares in PatientSky Group AS.
