Kahoot! ASA – Mandatory notification of trade by primary insiders

Oslo, 30 May 2023 Reference is made to the annual general meeting of Kahoot! ASA (the "Company") on 30 May 2023. On the annual general meeting of the Company on 30 May 2023 it was resolved to grant RSUs to certain shareholder-elected board members as part of the board of directors’ remuneration for the period from the annual general meeting in 2023 and until the annual general meeting in 2024. Each RSU gives the right to acquire one share in the Company at a price of NOK 0.10 per share (corresponding to the nominal value of the shares) subject to satisfaction of the applicable vesting conditions. Each of the below shareholder elected board member were granted RSUs for an amount equal to USD 100,000 which, based on the volume weighted average price for the Company's shares the last three business days prior to the AGM of NOK 23.50 and the USD/NOK exchange rate of 10.97 equals 46,681 RSUs. The following shareholder-elected board members were accordingly granted RSUs: Andreas Hansson: 46,681 RSUs. Following this grant, Andreas Hansson holds 84,244 RSUs, no options and 100,000 shares in the Company. Stefan Blom: 46,681 RSUs. Following this grant, Stefan Blom holds 84,244 RSUs, 300,000 share options and 50,000 shares in the Company. Lori Wright: 46,681 RSUs. Following this grant, Lori Wright holds 84,244 RSUs, no options and 11,556 shares in the Company. Joanne Bradford: 46,681 RSUs Following this grant, Joanne Bradford holds 84,244 RSUs, no options and 11,556 shares in the Company.
