Reference is made to the mandatory cash offer by Falcon Bidco. AS (the “Offeror”), a company indirectly wholly owned by infrastructure funds managed by Goldman Sachs Asset Management, to acquire all shares in Frøy ASA (“Frøy”) not already owned by the Offeror (the “Mandatory Offer”) in combination with a compulsory acquisition of all the remaining shares in Frøy. Today, the following primary insiders or persons close associated to them have accepted the Offer for a price of NOK 76.50 per share: • Tøff AS, a close associate of Tonje Foss, for a total of 10,000 shares; • Ocean Capital Advisers AS, a close associate of Sondre Vevstad, for a total of 8,196 shares; • ASAP Invest AS, a close associate of Arnt Rangvald Solem, for a total of 17,899 shares; • Svein Sivertsen for a total of 20,000 shares; and • Monica Strand Hansen for a total of 964 shares.
