Sandvika, 31 October 2023: Reference is made to the stock exchange notice by Norconsult ASA (the “Company”) dated 31 October 2023, regarding the commencement of the bookbuilding and application period in the initial public offering (the “Offering”) of shares in the Company (the “Offer Shares”).
The following primary insiders of the Company and close associates of primary insiders have today, 31 October 2023, applied for offer shares in the Offering in accordance with the terms and conditions set out in the prospectus dated 27 October 2023 (the “Prospectus”). The number of offer shares allocated to each primary insider will depend on the final offer price:
1. Nils Morten Huseby, chair of the board, has applied for Offer Shares for a total amount of NOK 1,000,000.
2. Mari Thjømøe, deputy chair of the board, has applied for Offer Shares for a total amount of NOK 400,000 through Thjømøekranen AS.
3. Anne Jenny Bergseth, board member, has applied for Offer Shares for a total amount of NOK 330,000.
4. Anni Ulfendahl, board member, has applied for Offer Shares for a total amount of NOK 175,000.
5. Helge Hesjedal Wiberg, board member, has applied for Offer Shares for a total amount of NOK 100,000.
6. Lars-Petter Nesvåg, board member, has applied for Offer Shares for a total amount of NOK 450,000.
7. Vibecke Hverven, board member, has applied for Offer Shares for a total amount of NOK 1,000,000 through Base Rådgivning AS.
8. Erlend Haugland Næs, deputy board member, has applied for Offer Shares for a total amount of NOK 100,000.
9. Kjell Selfors Lund, deputy board member, has applied for Offer Shares for a total amount of NOK 100,000.
10. Sigri Rosø Pladsen, deputy board member, has applied for Offer Shares for a total amount of NOK 10,500.
11. Egil Hogna, President and CEO, has applied for Offer Shares for a total amount of NOK 1,000,000.
12. Bård Sverre Hernes, EVP Norway, Head Office, has applied for Offer Shares for a total amount of NOK 1,000,000.
13. Janicke Garmann, EVP Sustainability and Staff, has applied for Offer Shares for a total amount of NOK 1,000,000.
14. Kathrine Duun Moen, EVP Technogarden and Digitalisation, has applied for Offer Shares for a total amount of NOK 1,000,000.
15. Sylvia Teige, Director Group Finance, has applied for Offer Shares for a total amount of NOK 500,000.
16. Sverre Hødnebø, General Counsel, has applied for Offer Shares for a total amount of NOK 100,000.
Members of the Norconsult board of directors and the executive management will be prioritized during allocation in the Offering, up to a maximum amount of NOK 1 million per member. The shares allocated to members of the board and the executive management will be subject to a lock-up period of 12 months following first day of listing on Oslo Børs.

Carnegie AS and DNB Markets, a part of DNB Bank ASA, are acting jointly as joint global coordinators and joint bookrunners (collectively, the “Joint Global Coordinators”). Nordea Bank Abp, filial i Norge, and Skandinaviska Enskilda Banken AB (publ), Oslo branch, are acting as joint bookrunners together with the Joint Global Coordinators (collectively, the “Managers”).
