Elektroimportøren AS - Transaction by a close associate

Reference is made to the announcement made on 29 September 2023 regarding the transfer of 6,568,923 shares in Elektroimportøren AS from Aeternum Capital AS to its 100% owned subsidiary, ACapital ELIMP HoldCo AS ("HoldCo"), by way of a capital contribution in kind. As part of requests for in-specie redemption in Aeternum Capital AS by certain of its investors, a capital reduction in Aeternum Capital AS has been resolved by way of a distribution in kind of 8,150,977 shares in HoldCo from Aeternum Capital AS to the investors which have requested redemption, equal to approx. 81,51% of the votes and capital in HoldCo. The creditor notice period for such capital reduction expired today. The transfer of the shares in HoldCo will occur upon completion of the processing time of the capital reduction with the Norwegian Business Registry in early 2024. Aeternum Capital AS is a closely associated person of Vegard Søraunet and Gaute Gillebo, both board members and primary insiders in Elektroimportøren AS. Please see attached form for further details.
