NAPATECH A/S: MANDATORY NOTIFICATION OF TRADE AND NOTIFICATION OF MAJOR SHAREHOLDING - REDELIVERY OF SHARES

Reference is made to the stock exchange announcement published by Napatech A/S (the "Company") on 7 May 2024 regarding the completion of a private placement of 9,000,000 new shares in the Company (the “Private Placement”), and the disclosure of major shareholding announcement on 8 May 2024 regarding the effectuation of the share loan under a share lending agreement (the "Share Lending Agreement") between the Company, Verdane Capital VIII K/S ("Verdane"), ABG Sundal Collier ASA (acting as settlement agent on behalf of the managers in the Private Placement, the "Settlement Agent") and SpareBank 1 Markets AS, to facilitate for delivery-versus-payment settlement of the Private Placement. Today, following registration of the share capital increase pertaining to the Company's board of directors' resolution to issue 9,000,000 new shares in the Private Placement made on 7 May 2024, the Settlement Agent will redeliver 9,000,000 new shares to Verdane as settlement of the share loan made under the Share Lending Agreement. Verdane is a closely associated legal person of Christian Jebsen, chairman of the board of directors of the Company. Following the effectuation of the redelivery of the share loan under the Share Lending Agreement and the registration of the share capital increase in connection with the Private Placement, Verdane holds 15,213,618 shares, corresponding to approximately 15.32% of the total share capital and voting rights in the Company. Verdane has thereby exceeded the 10% and 15% thresholds pursuant to section 38 of the Danish Capital Markets Act.
