Oslo, 13 July 2024 Reference is made to the offer document dated 23 May 2024 issued by SAS Shipping Agencies Services Sàrl (the "Offeror") in respect of the recommended voluntary cash offer to acquire all issued and outstanding shares in Gram Car Carriers ASA ("GCC" or the "Company") for a cash consideration of NOK 263.69 per share. Reference is further made to the stock exchange announcement on 11 July 2024 at 15:40 CEST (the "Notice"), regarding mandatory notification of transactions by primary insiders, including the settlement of the Company's share option program (the "Share Option Program"). The final calculations of the consideration for the share options under the Share Option Program have been completed. The share options provided under the Share Option Program will therefore be settled in cash to the members of the Company's executive management as specified in the Notice. For further details about the transactions related to the settlement of the Share Option Program, please see the enclosed forms.
