Energeia AS – Mandatory notification of trade

Oslo, 15 September 2025: Reference is made to previous stock exchange announcements by Energeia AS (the “Company”), latest on 11 September 2025, regarding the fully underwritten rights issue raising gross proceeds of NOK 31 million (the "Rights Issue". Jemma Invest AS, a close associate to primary insider Jarl Egil Markussen, CEO, has today, on 15 September 2025, sold 2,194,446 subscription rights in the Rights Issue at an average price of NOK 0.0243 per subscription right. Following this transaction, Jemma Invest AS, holds zero subscription rights. The decision to sell the subscription rights has been made based on personal liquidity considerations. It is emphasized that the Rights Issue is fully underwritten, and that the management's choice does not affect the implementation or the Company's financial position. By selling subscription rights other investors have the opportunity to participate in the Rights Issue and strengthen the Company's shareholder base. Energeia's management already has significant long-term exposure to the Company's development through existing shareholdings and incentive schemes and is fully committed to realizing the Company's strategy and creating shareholder value.
