Tekna Holding ASA: Final subscription and allocation of shares to primary insiders in the rights issue

(Arendal, Norway / Sherbrooke QC, Canada – 4 December 2025) Reference is made to the stock exchange announcements by Tekna Holding ASA (the "Company") regarding the fully underwritten rights issue of 100,000,000 new shares in the Company (the "Offer Shares") at a subscription price of NOK 3.00 per share, to raise gross proceeds of NOK 300 million (the "Rights Issue"). The final subscription and allocation of Offer Shares to certain primary insiders, and certain close associates of primary insiders, of the Company has been confirmed as follows: Tibidabo Invest AS, a company closely associated with Dag Teigland, Chair of the Board of Directors of the Company, has on 3 December 2025 been allocated 666,666 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 1,999,998. Tibidabo Industrier AS, a company closely associated with Dag Teigland, Chair of the Board of Directors of the Company, has on 3 December 2025 been allocated 48,639 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 145,917. Lars Magnus Eldrup Fagernes, member of the Board of Directors of the company, has on 3 December 2025 been allocated 50,000 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 150,000. Lomo Plata AS, a company closely associated with Torkil Sigurd Mogstad, Observer of the Board of Directors of the Company, has on 3 December 2025 been allocated 40,892 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 122,676. Damgløtt AS, a company close associated with Ann-Kari Amundsen Heier, member of the Board of Directors of the company, has on 3 December 2025 been allocated 33,333 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 99,999. Claude Jean, CEO of the Company, has on 3 December 2025 been allocated 120,000 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 360,000. ESC Holding AS, a company closely associated with Espen Schie, CFO of the Company, has on 3 December 2025 been allocated 24,454 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 73,362. Arina van Oost, VP Corporate Strategic Development, has on 3 December 2025 been allocated 7,616 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 22,848. Remy Pontone, EVP Materials, has on 3 December 2025 been allocated 100,000 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 300,000. ARENDALS FOSSEKOMPANI ASA, a company closely associated with Ann-Kari Amundsen Heier, member of the Board of Directors of the company, has on 3 December 2025 been allocated 76,107,287 Offer Shares at the subscription price of NOK 3.00 per share. The total value of the transaction was NOK 228,321,861.
