Atlantic Sapphire ASA – Mandatory notification of trade by PDMRs

NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, INTO OR WITHIN CANADA, AUSTRALIA, JAPAN, HONG KONG, NEW ZEALAND, SOUTH AFRICA, OR ANY OTHER JURISDICTION IN WHICH THE DISTRIBUTION OR RELEASE WOULD BE UNLAWFUL Miami, Florida, 26 June, 2026 Reference is made to earlier stock exchange notices released by Atlantic Sapphire ASA ("Atlantic Sapphire" or the "Company", and together with its consolidated subsidiaries, the "Group") regarding the Company's financing situation and the contemplated restructuring of the Group, e.g. the stock exchange notice dated 23 May 2026 regarding the entry into the Restructuring Agreement, and the stock exchange notice published earlier today regarding an update on the offer from Coral HoldCo AS ("Coral Holding"). As part of such restructuring, the Investor Group (as defined below) has today, 26 June 2026, transferred their shares in the Company to Coral Holding (the "Transaction"). Coral Holding is a joint investment company established by a group of the Company's largest shareholders and convertible loan holders, consisting of; (i) Condire Management L.P, (ii) Nordlaks Holding AS, (iii) Nokomis Capital Master Fund L.P., (iv) Strawberry Capital AS, and (v) Joh. Johannson Eiendom AS (jointly, the "Investor Group"). As part of the Transaction, the following close associates of primary insiders have transferred their shares in the Company as set out below: - Strawberry Capital AS, a close associate of Kenneth Jarl Andersen, the chairman of the board of directors in the Company, transferred their shares in the Company to Coral Holding, a total of 10,909,091 shares, at NOK 0.10 per share. After the transaction, Strawberry Capital AS holds 0 shares in Atlantic Sapphire ASA. - Nordlaks Holding AS, a close associate of Eirik Welde, member of the board of directors in the Company, transferred their shares in the Company to Coral Holding, a total of 32,727,273 shares, at NOK 0.10 per share. After the transaction, Nordlaks Holding AS holds 0 shares in Atlantic Sapphire ASA. Please refer to the attached notification forms for further information.
