Reference is made to the stock exchange announcement made by Polar Resources AS (the “Company”) on 2 July 2026 regarding the successful completion of a private placement (the “Private Placement”) and the retail offering (the “Retail Offering”), and together with the Private Placement, the “Offering”) of new shares in the Company.
Further reference is made to the stock exchange announcement by the Company earlier today where the Company published the minutes from the extraordinary general meeting of the Company held earlier today where, amongst other things, the share capital increase pertaining to the Offering was approved. In addition, the extraordinary general meeting approved a directed share issue towards the new board member Garrett Soden.
The following primary insiders and/or close associates of primary insiders have been allocated and will be delivered shares in the Private Placement at the offer price of NOK 7.00:
• Endurance Too AS, a company associated to the primary insider Henno Grenness (CEO) has been allocated 142,857 offer shares in the Private Placement.
• John Hamilton, member of the Company’s board of directors, has been allocated 57,142 offer shares in the Private Placement.
• Garrett Soden, member of the Company’s board of directors, has been allocated 71,428 offer shares in the Private Placement. In addition, Garret Soden has subscribed for 60,000 shares in a directed share issue whereby each share was subscribed at par value of NOK 0.01333 (rounded). In total, Garrett Soden has subscribed for, and will be delivered, 131,428 shares in the Company.
